1. Agreement to Terms

By registering an estate, accessing the dashboard, or utilizing the Epass platform ("Epass", "we", "us"), operated by Lightandra Technology, you agree to be bound by these Terms of Service. These terms govern the relationship between Lightandra Technology and the Estate Management ("Admin", "Client"), Security Personnel, and Residents utilizing the platform.

2. Description of Service

Epass is a cloud-based Software-as-a-Service (SaaS) platform designed to digitize estate administration in Nigeria. Services include, but are not limited to, resident directory management, visitor logging and pass generation, shuttle and driver tracking, secure broadcast messaging, and security personnel management.

3. Subscriptions, Trials, and Billing

3.1 Trial Period: Epass offers a 1-month trial period activated by a non-refundable verification payment of ₦100 via our payment processor, Flutterwave. Upon expiration of the trial, access to the Admin dashboard will be locked.
3.2 Annual Subscription: Continued access requires an annual subscription fee of ₦150,000 per estate workspace.
3.3 Lockout Policy: Failure to renew the annual subscription will result in a localized system lockout. Resident onboarding, visitor logging, and administrative controls will be suspended until the renewal payment is confirmed. Data will be retained but inaccessible during this period.
3.4 Payment Processing: All financial transactions are handled securely by Flutterwave. Epass does not store your credit card or bank account details on our servers.

4. Roles and Responsibilities

4.1 Estate Administrators: You are responsible for the accuracy of resident approvals, the ethical use of the broadcast messaging system, and managing the active status of your security personnel. You are solely responsible for obtaining any necessary consent from residents to manage their data on Epass.
4.2 Residents & Security: Users must not share access credentials, manipulate visitor logs, or use the platform to harass other residents. Security personnel must ensure accurate data entry for visitor ingress and egress.

5. Limitation of Liability regarding Physical Security

Epass is a software management tool. While we provide access control logs and communication tools, Lightandra Technology is not a physical security company. We are not liable for physical breaches of your estate, theft, property damage, or the actions of verified or unverified visitors, residents, or security guards.

6. Service Availability

We strive to maintain 99.9% uptime. However, Epass relies on third-party infrastructure (web hosting, SMTP email servers, SMS gateways). We are not liable for disruptions caused by telecom provider outages, internet service failures, or scheduled maintenance (which will be communicated via the Admin dashboard).

7. Governing Law

These terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. Any disputes shall be resolved in the competent courts of Lagos State, Nigeria.
